Following the notification from February 2025, Croatian Telecom Inc. (hereinafter: “HT”)
NOTIFIES
that on 22 April 2025 it delivered to the Court Register of the Commercial Court in Zagreb the agreement on the division of the company from Article 550r, in connection with Article 550b of the Companies Act (hereinafter: “CA”), by which the division of the company HT is regulated, which company is being divided and it does not terminate its operations, in a way that division is to be performed by separation with acquisition, by transfer of part of the assets of the dividing company (passive mobile infrastructure) to the company which is already established, HT Towers Ltd. for services, with registered seat in Zagreb, Radnička cesta 21 (separation with acquisition) (hereinafter: “Division Agreement”).
Pursuant to Article 550o, Paragraphs 1 and 2 of the CA, the dividing company shall provide guarantees for settlement of claims to all creditors of the dividing company who report their claims to the company within the deadline of six months as of the publication of the entry of the division in the Court Register.
The General Assembly of the dividing company, which is to decide on the division, shall be convened following the delivery of the Division Agreement to the Court Register in line with Article 550g, Paragraph 1, of the CA. As of the day of the publication of the Invitation to the General Assembly of the dividing company, in the registered seat of the dividing company, shareholders of the dividing company shall be granted insight into the Division Agreement together with all appendices, as well as insight into all other documents in line with Article 550g, Paragraph 3, of the CA.
